Azul consegue investimento milionário para ajudar a sair da recuperação judicial

A Azul anunciou nesta quarta‑feira que firmou acordos de investimento com as companhias norte‑americanas American Airlines e United Airlines, totalizando até US$ 200 milhões em capital novo.
De acordo com comunicado enviado à Comissão de Valores Mobiliários (CVM), os recursos serão utilizados para fortalecer a estrutura financeira da empresa e apoiar sua saída do processo de recuperação judicial nos Estados Unidos, equivalente ao Chapter 11.
Cada uma das duas aéreas internacionais comprometeu‑se a investir US$ 100 milhões em participação acionária. No caso da United, o aporte será realizado por meio da oferta pública de ações (ERO) iniciada em 3 de fevereiro, cuja liquidação está prevista para 20 de fevereiro. Já o investimento da American Airlines ocorrerá via subscrição de bônus (warrants), condicionado à aprovação de autoridades concorrenciais brasileiras, como o Cade.
A Azul informou ainda ter celebrado um Acordo de Investimento Adicional com credores atuais, assegurando mais US$ 100 milhões dentro da mesma oferta pública. Instrumentos complementares de bônus de subscrição poderão elevar o valor total dos aportes em até US$ 25 milhões, sendo US$ 15 milhões provenientes da United e US$ 10 milhões dos credores, sem concessão de direitos adicionais de governança.
Segundo a companhia, a efetivação dos investimentos depende de condições usuais, entre elas a conclusão da oferta pública, a entrada em vigor do plano de reestruturação e o período de exercício de preferência pelos acionistas atuais.
No final do ano passado, a Embraer anunciou um novo acordo com a Azul para revisar o contrato de compra de aeronaves do modelo E195-E2, originalmente entre 2014 e 2018.
O novo entendimento entre as empresas altera o volume da encomenda, em um momento de reestruturação financeira da companhia aérea. Agora, o pedido foi ajustado de 51 para 25 aeronaves, segundo fato relevante divulgado pela fabricante brasileira.
